End User License Agreement

Greffier End User License Agreement. Version 0.1-draft. Effective [EFFECTIVE DATE: owner to supply].

This agreement is between you and Jake Zohdi, sole proprietor, trading as “Greffier” (“Greffier”, “we”, “us”). It covers the Greffier desktop app, version 1.x, including its updates (the “Software”).

You accept this agreement when you activate the Software, or when you install or use it. If you don’t accept it, don’t install or use the Software.

1. Your license

When you buy a license, we give you a perpetual, non-exclusive, non-transferable license to install and use the Software:

  • as one person;
  • on up to 3 devices that you own or control;
  • for every 1.x version of the Software we release.

The license doesn’t cover later major versions (2.0 and up).

You may use the Software for work, including in your job or business. The license belongs to one person, not to a company: each person who uses the Software needs their own license.

2. Buying and license keys

Your purchase is covered by the Terms of Sale at https://greffier.app/terms/.

Purchases and license checks will be handled by a payment provider named here before sales open.

3. What you may not do

You may not:

  • copy, share, sell, rent, lend or otherwise redistribute the Software or your license key, except as this agreement allows;
  • crack the Software, or remove, disable or get around its license checks;
  • reverse engineer, decompile or disassemble the Software, except where the law lets you do so despite this restriction.

4. Ownership

The Software is licensed, not sold. We keep all rights in the Software that this agreement doesn’t give you.

What you make with the Software is yours. We claim no rights in your recordings, transcripts, summaries or notes.

5. Third-party components

The Software includes components from other people, such as open-source libraries and the speech and summary models it downloads. Each comes with its own license, and that license, not this agreement, covers it. Nothing in this agreement limits the rights those licenses give you. Their notices ship with the Software, under Help > Licenses.

6. Cloud providers

You can choose to use cloud providers (OpenRouter, OpenAI, Anthropic, Google and AssemblyAI) with your own account or API key. Your use of each provider is under your agreement with that provider, and you pay that provider directly. We don’t control those providers and aren’t responsible for them. The Privacy Policy at https://greffier.app/privacy/ explains what the Software sends them.

You are responsible for following the recording and consent laws that apply to you. In many places, everyone in a conversation must agree before it is recorded. Let people know before you record them.

8. No warranty

The Software is provided “as is”, without warranty of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose or non-infringement.

Transcripts and summaries are produced by speech and language models. They can be wrong or incomplete. Check anything important against the conversation itself.

9. Limit of liability

To the fullest extent the law allows:

  • we are not liable for any indirect, incidental, special or consequential damages, or for lost data, profits or business, arising from the Software or this agreement;
  • our total liability for any claim about the Software or this agreement is limited to the price you paid for your license.

Some places don’t allow these limits. Where they don’t, the limits apply only as far as the law allows. Nothing in this agreement limits liability that the law doesn’t let us limit.

10. Termination

This license ends:

  • if your purchase is refunded;
  • if you break this agreement.

When it ends, you must stop using the Software and remove it from your devices. Your recordings and notes stay on your computer and remain yours. Sections 3, 4, 8, 9, 11 and 12 continue after the license ends.

11. Governing law

This agreement is governed by the laws of [GOVERNING LAW: STATE — owner to supply], United States, without regard to its conflict-of-laws rules. This doesn’t take away any consumer protection that the law where you live gives you and that can’t be waived.

12. General

This agreement, with the Terms of Sale, is the whole agreement between you and us about the Software. Our Privacy Policy explains how we handle personal information.

If a court finds part of this agreement unenforceable, the rest still applies.

This agreement is written in English. A translation is for convenience only. If they differ, the English version governs.
